Terms and Conditions
1Focus Productions has provided these discount rates for the exclusive use with One Focus Media. The rates have been developed to provide the most cost effective means of videotaping and editing available today. These extremely low rates are only possible with certain taping and editing guidelines. Customization and additions are available at associated rates. These 1Focus Production rates are conditional to the following terms:

This Agreement contains the terms and conditions that apply to your purchase of services from 1Focus Productions that will be provided to you ("Customer") on orders for services and support sold in the United States. By accepting services described on the invoice and package listings, Customer agrees to be bound by and accepts these terms and conditions. THESE TERMS AND CONDITIONS APPLY (i) UNLESS THE CUSTOMER HAS SIGNED A SEPARATE PURCHASE AGREEMENT WITH 1Focus Productions, IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN; OR (ii) UNLESS OTHER 1Focus Productions STANDARD TERMS APPLY TO THE TRANSACTION. These terms and conditions are subject to change without prior written notice at any time, in 1Focus Productions sole discretion.

TAPING AND EDITING TERMS FOR PACKAGES LISTED:
Videotaping:

1. 1Focus Productions will provide a video choice check list for customer to choose the taped shots for your commercial. Taping in addition to this list will be at associated costs.
   
2. All taping is on Mini-Digital Master Grade Tape – there will be additional cost if you request the footage for additional purposes other than One Focus Media.
3. No audio taping services during the video taping are included in package pricing(except for “Testimonial” & “Hollywood” commercials.) Audio recordings are available.
   
4. Scripting will be provided as a one-voice narration edited from your provided description. Storylines or skit-type commercials are available at additional cost.
   
5. Narration is provided through utilizing 1Focus Productions in-house voice personnel. Other artists are available at associated costs.
6. Music is royalty free and is provided based on requested style. 1Focus Productions owns all music and cannot guarantee exclusive use.
   
7. Backgrounds and animated background packages are based on over 300 existing animated and still backgrounds. Developing customized moving or still backgrounds will be at additional costs.
   
8. This pricing is based on client providing all necessary art and text in appropriate data form (.jpg, .tif, Microsoft Word, Excel, etc.) Logo(s) must be supplied as a transparent psd or eps. If our staff must work additional hours to manipulate provided materials for utilization, appropriate charges will be incurred through a CHANGE ORDER(S) at $45 per hour.
   
9. Shipping (approval copy, etc.) is additional.
   
10. One set of simple changes to approval copy are included in this cost (equal to up to 1 hour.) Additional changes will be at $45/hour.
    
11. CHANGES: 1Focus Productions anticipates that it will be able to complete this project within the quoted cost to the client. This cost has been developed using the information known about the project at this point. If at any point during the Pre Production, Production and/or Post Production phase, client requests any change(s) to the production, a “Change Order” will be required. The “Change Order” will define any and all changes, associated cost and will require the signature (or e-mail verification) of the client prior to proceeding. Note that changes may also affect completion dates.

12. Other Documents. These terms and conditions may NOT be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for product(s) or services and support that are subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by both Customer and 1Focus Productions.

13. Governing Law. THIS AGREEMENT AND ANY SALES THEREUNDER SHALL BE GOVERNED BY THE LAWS OF THE STATE OF PENNSYLVANIA, WITHOUT REGARD TO CONFLICTS OF LAWS RULES.

14. Payment Terms; Orders; Quotes; Interest. Terms of payment are within 1Focus Productions's sole discretion, and unless otherwise agreed to by 1Focus Productions, deposit payment must be received by 1Focus Productions prior to 1Focus Productions's acceptance of an order. Payment for the products and services and support will be made by cash, certified check, cashiers check, postal money order, credit card, wire transfer, check, or some other prearranged payment method unless credit terms have been agreed to by 1Focus Productions. Invoices are due and payable within the time period noted on the invoice, measured from the date of the invoice. 1Focus Productions may invoice parts of an order separately. Orders are not binding upon 1Focus Productions until accepted by 1Focus Productions. Any quotations given by 1Focus Productions will be valid for the period stated on the quotation. Customer agrees to pay interest on all past-due sums at the highest rate allowed by law.

15. Shipping Charges; Taxes. Separate charges for shipping and handling will be shown on 1Focus Productions's invoice(s) where applicable, when possible. Unless Customer provides 1Focus Productions with a valid and correct tax exemption certificate applicable to the product ship-to location prior to 1Focus Productions's acceptance of the order, the Customer is responsible for sales and all other taxes associated with the order, however designated, except for 1Focus Productions's franchise taxes and taxes on 1Focus Productions's net income. If applicable, a separate charge for taxes will be shown on 1Focus Productions's invoice.

16. Title; Risk of Loss. Title to products passes from 1Focus Productions to Customer on shipment from 1Focus Productions's facility. Loss or damage that occurs during shipping by a carrier selected by 1Focus Productions is 1Focus Productions's responsibility. Loss or damage that occurs during shipping by a carrier selected by Customer is Customer's responsibility.

17. Warranties. THERE ARE NO WARRANTIES FOR SERVICES. 1FOCUS PRODUCTIONS MAKES NO EXPRESS WARRANTIES EXCEPT THOSE STATED IN THIS SECTION AND IN 1FOCUS PRODUCTIONS'S APPLICABLE WARRANTY STATEMENT IN EFFECT ON THE DATE OF THE INVOICE. ANY SUCH WARRANTIES WILL BE EFFECTIVE, AND 1FOCUS PRODUCTIONS WILL BE OBLIGATED TO HONOR ANY SUCH WARRANTIES, ONLY UPON 1FOCUS PRODUCTIONS'S RECEIPT OF PAYMENT IN FULL FOR THE ITEM TO BE WARRANTED. 1FOCUS PRODUCTIONS DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 1FOCUS PRODUCTIONS'S RESPONSIBILITY FOR WARRANTY CLAIMS IS LIMITED TO REPAIR AND REPLACEMENT AS SET FORTH IN 1FOCUS PRODUCTIONS'S APPLICABLE WARRANTY STATEMENT IN EFFECT ON THE DATE OF THE INVOICE. 1Focus Productions reserves the right to modify its warranty at any time, in its sole discretion. Customer agrees that it will be bound by the license agreement upon deposit payment.

18. Return and Refund Policies. No refunds of deposits will be issued on any services of design, recording, videotaping or on site service. No exceptions.

19. Limited Service Liabilities. 1Focus Productions endeavors to provide the best customer and technical support in the production industry. For Customers, 1Focus Productions promises that it will attempt to handle, over the telephone, any problem involving 1Focus Productions products. 1Focus Productions has no obligation to provide service or support until 1Focus Productions has received full payment for the service. 1Focus Productions will provide service and support to Customer in the United States in accordance with the terms and conditions of the services and support policies and conditions in effect on the date purchased. 1Focus Productions cannot be responsible for support of or damages to any product stemming from the end-user's use or misuse of third party software products. 1Focus Productions is not liable or responsible for any amount of damages to, or support of, any product which has suffered damage or data loss due to mishandling.

20. Limitation of Liability. 1FOCUS PRODUCTIONS DOES NOT ACCEPT LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN, INCLUDING ANY LIABILITY FOR PRODUCTS NOT BEING AVAILABLE FOR USE OR THE PROVISION OF SERVICES AND SUPPORT. 1FOCUS PRODUCTIONS WILL NOT BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED HEREIN. THIS LIMITATION OF LIABILITY APPLIES BOTH TO PRODUCTS AND SERVICES AND SUPPORT CUSTOMER PURCHASES UNDER THIS AGREEMENT. CUSTOMER AGREES THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCTS OR SERVICES, 1FOCUS PRODUCTIONS IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES FOR CLAIMS AGAINST SERVICES RENDERED AND HAS NO GUARANTEES FOR CLAIMS OF QUALITY OF ARTISTIC INTERPRETATION. FURTHER, 1FOCUS PRODUCTIONS MAKES NO GUARANTEES, EXPRESSED OR IMPLIED, TO GUARANTEE QUALITY OF ARTISTIC PERFORMANCES OR ARTISTIC INTERPRETATION AND WILL NOT BE HELD LIABLE FOR SUCH CLAIMS. 1FOCUS PRODUCTIONS UTILIZES INDUSTRY STANDARDS IN THE PRODUCTION PROCESS TO CAPTURE THE HIGHEST QUALITY RECORDING OF SOUND, VIDEO, IMAGES, AND OTHER DIGITAL DATA. VARIATIONS IN QUALITY STEMMING FROM ARTISTIC INTERPRETATION ARE THE SOLE RESPONSIBILITY OF THE ARTIST. AT THE TIME THAT A SCRIPT, RECORDING PROJECT ESTIMATE, WEB SITE ESTIMATE, DESIGN ESTIMATE OR OTHER RELATED SERVICE ESTIMATE IS AGREED UPON, 1FOCUS PRODUCTIONS WILL NOT BE HELD LIABLE FOR CLAIMS AGAINST ANY DEVIATION FROM THAT ESTIMATE MADE BY CUSTOMER. CUSTOMER BEARS SOLE RESPONSIBILITY FOR ANY OVERTIME CHARGES INCURRED BY 1FOCUS PRODUCTIONS IN ITS EFFORTS TO COMPLETE A PROJECT AS REQUIRED FOR CUSTOMER SATISFACTION. BY ENTERING INTO CONTRACT, CUSTOMER AFFIRMS TO ABIDE BY ALL STUDIO POLICIES AND PROCEDURES. 1FOCUS PRODUCTIONS IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES FOR THE PURCHASE OF GOODS OR SERVICES UNDER THIS AGREEMENT. 1FOCUS PRODUCTIONS IS NOT RESPONSIBLE OR LIABLE FOR DELAYS IN DELIVERY OF GOODS OR SERVICES CAUSED BY ACTS OF GOD, BACKORDER, FAILURE OF EQUIPMENT OR OTHER EXTENUATING CIRCUMSTANCES BEYOND THE CONTROL OF 1FOCUS PRODUCTIONS

21. Applicable Law; Not For Resale. Customer agrees to comply with all applicable laws and regulations of the various states and of the United States. Customer agrees and represents that it is buying for its own use only, and not for resale. 1Focus Productions has separate terms and conditions governing resales.
